This agreement governs teachers’ use of Manahig and its related services. Please read it carefully before creating an account or using the platform.

By creating a teacher account, using the platform, or selecting the acceptance checkbox, you confirm that you have read, understood, and agreed to these terms, the Privacy Policy, the Refund Policy, and any related published operational policies.

I confirm that I am legally eligible to contract, that the information I have provided is accurate, that I am responsible for the content and services I provide, and that I agree to an electronic record being kept of my acceptance of these terms.

Teacher Agreement

Scope and electronic acceptance

These terms govern the relationship between any teacher or educational institution that creates an account or uses Manahig, and Codium Digital Solutions – كوديم للحلول الرقمية, commercial registration number 299471, referred to below as “Codium”, “the Company”, or “the Platform”.

These terms apply to the Manahig website, dashboards, subdomains, applications, services, payment tools, reports, and any related technical services, unless a separate written agreement signed by the Company states otherwise.

Creating an account, continuing to use the Platform, or selecting an acceptance checkbox constitutes electronic acceptance of these terms. The Platform may retain an acceptance record, including the terms version or copy, the date and time of acceptance, and reasonable technical information such as IP address and browser identifier, to the extent permitted by law.

Definitions

  • Teacher: the natural person or legal entity creating an account to provide educational content or services through the Platform.
  • Student: a user who enrolls, interacts with, or pays for content or a service provided by a Teacher through the Platform.
  • Teacher Platform: the digital space or subdomain assigned to a Teacher within Manahig, such as teacher.manahig.net.
  • Educational Content: videos, files, exams, notes, images, text, live sessions, assignments, recordings, and any materials published by the Teacher.
  • Confidential Information: non-public information relating to the Company, the Platform, users, pricing, operations, software, plans, financial information, or technical information.

Relationship and account

The Teacher is an independent user of the Platform. These terms do not create an employment, agency, partnership, franchise, or legal representation relationship between the Teacher and the Company.

The Teacher remains responsible for their educational activity, content, pricing, professional commitments, legal and tax obligations, and direct educational relationship with students.

The Teacher must provide accurate, complete, and up-to-date information, keep login credentials confidential, and promptly notify the Platform of suspected unauthorized access. The Platform may request identity, qualification, bank, or tax documents where needed.

  • The Teacher must not create an account under a false identity or use another person’s information without authorization.
  • The Teacher must not choose a platform name or subdomain that infringes another party’s rights, trademark, or trade name.
  • The Teacher is responsible for activity through their account unless they promptly notify the Platform of compromise or unauthorized use.

Platform services and each party’s role

Manahig provides technical infrastructure and tools for managing content, students, groups, videos, exams, sessions, payments, reports, and other available services.

The Teacher is the provider of the educational content and service to their students, while the Platform provides the available technical and operational tools under these terms. The Platform does not guarantee any minimum sales, earnings, student numbers, views, or educational outcomes.

The Company may develop, modify, add, or discontinue non-material features while respecting existing commitments and the Teacher’s legal rights.

Teacher responsibility for content and services

The Teacher bears full responsibility for all content, services, and representations published or provided through the Platform and represents that they hold all required rights, licences, and consents.

The Teacher must not publish unlawful or misleading content or claims, including guaranteed success, grades, or outcomes, unless they are accurate, verifiable, and legally permitted.

The Platform may, at its reasonable discretion, remove, disable, or restrict content or accounts suspected of violating these terms, the law, or third-party rights. This does not create a general obligation for the Platform to pre-review all content.

  • Content must be suitable for the intended age group and free from abuse, incitement, hate, violence, or unlawful material.
  • The Teacher is responsible for obtaining required permissions before filming, recording, or publishing the image or voice of any student or participant.
  • The Teacher must not upload, sell, or share books, notes, videos, exams, or materials belonging to others without valid permission or licence.

Intellectual property and rights of use

The Teacher retains rights in original content they create, while granting the Company a non-exclusive licence, limited to what is necessary to host, display, stream, technically copy, format-convert, back up, and operate the content for students during the Teacher’s use of the Platform.

All rights in the Platform, software, source code, designs, user interfaces, technical infrastructure, databases, trademarks, documentation, operating methods, and reports are fully reserved to the Company.

The Teacher must not use the name, logo, or trademark of “Manahig”, “Codium”, “Codium Digital Solutions”, or the Company’s marketing materials or designs without prior written approval.

Student data, privacy, and minors

The Teacher must process student data only to the extent necessary to provide and manage the educational service and must take reasonable safeguards against unauthorized access, use, or disclosure.

Communication with students must remain professional and education-related, taking into account the nature of the relevant age groups, minors’ rights, and applicable legal requirements.

The Platform may process data necessary to operate the service, protect accounts, complete payments, and comply with legal obligations in accordance with its Privacy Policy.

  • Student data must not be sold, rented, or shared with third parties without a lawful basis or necessary consent.
  • The Teacher must not request sensitive or unnecessary data, personal images, or private information without a legitimate purpose and required consents.
  • The Teacher must not use student data for marketing messages or move students to external payment channels or services to circumvent Platform rights.
  • Passwords, grades, and student records must not be disclosed to unauthorized parties.

Pricing, offers, coupons, and refunds

The Teacher is responsible for prices and offers published for their products or services, while the Platform may set reasonable controls or suspend misleading, non-compliant, technically erroneous, or legally problematic offers.

Changes to pricing, discounts, or coupons do not apply retroactively to a completed payment unless required by law, the Refund Policy, or correction of an obvious error.

Cancellation, refund, and chargeback requests are subject to the published Refund and Cancellation Policy and applicable law. The Teacher must cooperate in investigations, and the handling decision will be made based on available evidence, records, and applicable policies.

  • Commission or fees are calculated under the commercial agreement or dashboard terms and on the amount actually paid after discounts, unless the applicable financial policy states otherwise.
  • Refunds, chargebacks, and related fees may be deducted from current or future Teacher balances under the applicable policy.
  • The Teacher must not make refund promises or selling terms that conflict with Platform policy or the law.

Balances and payouts

Teacher payouts are made according to the payout cycle, minimum payout amount, security hold period, and verification or compliance requirements stated in the dashboard or the applicable commercial agreement.

The Teacher is responsible for the accuracy of bank account, wallet, or other payout details. The Platform is not responsible for delay or failure caused by inaccurate or incomplete details, banks, payment gateways, or another external party.

The Platform may hold, delay, or settle a payout in the event of suspected fraud, a dispute, a request from a competent authority, a negative balance, breach of these terms, or incomplete verification.

  • Settlements may include Platform commission, payment-gateway fees, transfer fees, refunds, and taxes or charges legally due.
  • If a refund or chargeback arises after a Teacher has been paid, the Platform may recover the balance from future payouts or request repayment under the published policy.
  • The Teacher is responsible for their tax obligations and for issuing invoices, documents, or declarations required by law.

Live sessions, recordings, and exams

When a Teacher activates, creates, or records a live session, the Teacher is responsible for notifying participants that recording is taking place and obtaining any required consents before recording, publishing, or reusing it.

The Platform may retain recordings and files according to storage limits, technical policies, and the period announced in the account. Permanent retention of any recording or file is not guaranteed unless a paid service or separate agreement states otherwise.

Exam tools may capture technical events such as tab switching, repeated attempts, or other indicators. These events are technical signals only and are not, by themselves, a final determination that a student cheated or committed a legal violation.

  • The Teacher is responsible for defining exam rules and academic consequences or retake rules under their announced policies and applicable law.
  • Technical event reports must not be used to publicly shame a student, make a criminal accusation, or disclose their data without a lawful basis.
  • Recordings and attendance data must not be used outside the educational purpose or shared with unauthorized parties.

Prohibited uses

  • Violating the law, public order, public morals, or another party’s rights.
  • Impersonation, false information, or forged documents.
  • Hacking, disrupting, or testing Platform vulnerabilities without permission, or accessing unauthorized accounts or data.
  • Using bots or tools to extract, copy, or resell data without written approval.
  • Sending spam, fraud, harmful links, or using the Platform for money laundering or deception.
  • Abusing students, teachers, Company staff, or partners, or engaging in unprofessional, harassing, or exploitative conduct.
  • Reselling, renting, or granting third parties access to the Platform or any part of it without prior written approval.

Content reports and third-party rights

Any rights holder may submit a report concerning content they believe infringes their rights or violates the law or these terms, provided sufficient information is supplied for review.

The Platform may temporarily hide or restrict content during its review, request information or documents from the Teacher, and take action it considers appropriate under the available evidence and applicable policies.

Repeated infringements or serious reports may result in suspension or termination of the account, without limiting the parties’ rights to approach competent authorities.

Confidentiality and trade-secret protection

The Teacher must keep confidential all non-public information accessed through the Platform, including technical, commercial, financial, operational, customer, student, teacher, performance, pricing, and future-planning information.

The Teacher must not use, disclose, copy, or exploit confidential information except to the extent required to use the Platform under these terms. This obligation survives termination of the account or relationship with the Platform.

Non-circumvention, non-solicitation, and fair competition

To protect the Company’s investments, confidential information, data, and commercial relationships, the Teacher agrees during use of the Platform and for 12 months after account or relationship termination not to exploit information obtained through the Platform to circumvent the Company’s rights or compete unfairly.

This clause does not prevent the Teacher from teaching, working for another educational provider, producing independent content, or using general skills and experience, provided that the Teacher does not use the Company’s confidential information, data, intellectual property, or improperly solicit Platform users.

  • The Teacher must not copy, imitate, or use Platform software, designs, documentation, operating models, pricing strategies, or confidential information to create, develop, or operate a competing service.
  • The Teacher must not use data of students, customers, teachers, or partners obtained through the Platform to move them to a competing platform or external payment channel in order to avoid commission, fees, or obligations due.
  • The Teacher must not solicit or attempt to solicit the Company’s staff, contractors, partners, or teachers for a competing service by using information or relationships obtained from the Platform.
  • On breach, the Company may seek cessation of the breach, recovery of proven actual damage, and available legal or interim remedies.

Service availability and force majeure

The Company aims to operate the service with reasonable reliability, but the Platform may be affected by maintenance, technical faults, internet outages, hosting services, banks, payment gateways, third-party providers, cyberattacks, official decisions, or other events beyond reasonable control.

To the extent permitted by law, the Company is not liable for delays or interruptions resulting from these circumstances and will make reasonable efforts to restore service or limit the impact where possible.

Suspension, termination, and data deletion

The Company may suspend, restrict, or terminate all or part of a Teacher account for breach of these terms or law, inaccurate information, suspected fraud or misuse, third-party-rights infringement, unpaid dues, or a request by a competent authority.

In an ordinary termination case, the Teacher may request export of technically available content or data within 30 days of termination, unless there is a dispute, breach, legal restriction, or records-retention obligation.

The Company may retain financial, legal, or security records to the extent and for the period necessary to fulfil legal obligations, resolve disputes, prevent fraud, or enforce these terms.

  • Termination does not release the Teacher from financial, legal, or confidentiality obligations arising before termination.
  • A subdomain may be suspended or reassigned after termination under the published domain policy, while respecting existing rights and preventing confusion or impersonation.

Liability and indemnity

The Platform is provided as available and as is. The Company does not guarantee that services will be completely error-free, uninterrupted, or fit for a particular purpose. This does not exclude guarantees or liabilities that cannot lawfully be excluded.

To the extent permitted by law, the Company is not responsible for the quality of Teacher content or educational outcomes, disputes between a Teacher and students, losses arising from improper account use, or interruption of third-party services.

The Teacher agrees to indemnify the Company for claims, losses, and reasonable costs arising directly from the Teacher’s content, services, breach of these terms or the law, or infringement of third-party rights.

Changes, notices, and governing law

The Company may modify these terms when services or legal or operational requirements change. An updated version will be published or the Teacher will be notified by email, dashboard, or another appropriate electronic method.

Continued use of the Platform after a change takes effect constitutes acceptance where reasonable notice has been given, without affecting rights that arose before the change.

These terms are governed by the laws of the Arab Republic of Egypt. The Cairo Economic Courts, or another legally competent court, have jurisdiction over disputes unless the parties have agreed in writing to an alternative dispute-resolution method.

General provisions and contact

If any provision is held invalid or unenforceable, the remaining provisions remain effective. The Company’s failure or delay in exercising a right is not a waiver of that right.

The Teacher may not assign rights or obligations under these terms without the Company’s prior written approval. These terms form the entire agreement concerning Platform use unless a separate written agreement exists.

Where a translation of these terms exists, the Arabic version prevails in the event of a conflict unless the Company expressly states otherwise in writing.
